Terms of Use

THIS END-USER LICENSE AGREEMENT, TOGETHER WITH THE PRIVACY POLICY WHICH IS INCORPORATED BY REFERENCE INTO THIS LICENSE AGREEMENT, CONSTITUTES A LEGALLY BINDING AGREEMENT (“AGREEMENT”) BETWEEN YOU (AN INDIVIDUAL) AND PROSOX LIMITED (“Prosox” OR “WE”, OR “OUR” OR “US”), WHICH GOVERNS YOUR ACCESS AND USE OF PROSOX SERVICES, PROSOX LIMITED WEBSITES (“SITE”) AND ANY RELATED SERVICES, FEATURES, CONTENT AND APPLICATIONS (“FEATURES”) PROVIDED BY US (ALL COLLECTIVELY REFERRED TO HEREIN AS “SERVICES”).

Customer Responsibilities

You are responsible for actions related to your user account and must comply with applicable laws (local, state, national, and international), as well as agreements and regulations regarding your use of the Service, data confidentiality, international communications, and transfer of technical or personal data.

If you notice unauthorized use of your user account, you must report it to us immediately.

Provider Responsibilities

We will maintain the confidentiality of all your submitted data: this applies to our employees, representatives, consultants, contractors, or agents. The obligation to maintain the confidentiality of your data does not apply to the following cases: i) the data is already known to the public; or ii) such data must be disclosed by law, by order of any governmental or other regulatory body, court, or other competent authority. In this case, we will inform you about the need for such disclosure as soon as possible.

Use of Services

We reserve the right to change, modify, add or remove any terms of this Agreement with or without notice and without liability to you.

Limited License

For the Term, we hereby grant you a personal, non-exclusive, non-transferable, non-assignable, non-sublicensable, revocable and limited license to access and use the Service.

Pricing and Payment

We may change our prices from time to time. You must pay for the Services periodically in accordance with the terms and periods defined by your chosen subscription plan. Unless otherwise specified, all payments for the Services are due on the first day of using the Services in accordance with the terms defined by the subscription plan. You will be billed automatically using your chosen payment method according to the subscription cost calculation and the volume of traffic not included in the subscription but used by you for the month for which billing is required, as necessary. Unless otherwise specified, the Services will automatically renew for the next month and be paid in advance for the next month on the day of your first subscription each month until you decide to cancel access to the Services. All purchases of Services are final and non-refundable, except at our sole discretion and in accordance with the rules governing the Services.

If you do not cancel your subscription before the end of the Trial Period (if one is provided at Prosox’s discretion), or unless otherwise specified, your access to the Service will automatically continue, and you will be charged accordingly for this Service using your chosen payment method. All accounted expenses are final and non-refundable, except at our sole discretion and in accordance with the rules governing the Services. We may send you a reminder about the upcoming end of the Trial Period, but we do not guarantee such notifications. Ultimately, you need to know yourself when the Trial Period ends if you decide to become or not become a paying user of the Services after the Trial Period.

If you decide not to pay for the Services, you must cancel your subscription before the end of the Trial Period. You may lose access immediately after cancellation or at the end of the Trial Period. After canceling the Trial Period, you will not be able to renew it, even if it was not used for the entire duration of the offer.

Prohibited Behavior

You may not use the Service in a way that could damage, disable, overload or impair our servers or interfere with other parties’ use and enjoyment of the Service. You may not attempt to gain unauthorized access to any aspect of the Service or information to which you are not granted access by mining passwords or any other process.

Prohibited Content

It is prohibited to post any content on our website that violates the law, promotes illegal goods or services, or is sexually explicit. Examples of categories include sexual content, drugs and drug-related items, hate, violence, weapons, etc. We reserve the right to determine, at our discretion, what constitutes prohibited content and take appropriate action against violators.

Liability

You understand and agree that the use of the Service is at your own risk. We are not liable for any direct, indirect, incidental, special, punitive or consequential damages or losses, including lost profits, loss of data, loss of business or other losses that may arise from the use or inability to use the Service, even if we have been notified of the possibility of such losses.

Termination

We reserve the right, at our discretion and without prior notice, to terminate your access to the Service if we determine that you are violating this Agreement.

Validity period

This Agreement comes into effect from the moment you accept its terms and continues until terminated by you or us.

Applicable Law

This Agreement is governed by and interpreted in accordance with the laws applicable in the territory where the Services are provided.

In case of any disagreements between you and Prosox, we strongly recommend trying to resolve them through friendly negotiations. If such resolution is not possible, any disputes arising from this Agreement shall be resolved in accordance with applicable law through legal proceedings.
