LIMITED LIABILITY COMPANY PROSOX

1. Definitions & Interpretation

  • “Company”, “Prosox”, “we”, “our” — LIMITED LIABILITY COMPANY PROSOX, Delaware, USA.
  • “Service” — the platform, including web interface, applications, tools, features, and any related services provided by Prosox.
  • “Network Resources” — IP addresses, proxies, or other network access resources made available through the Service, which may be sourced from third-party providers.
  • “Third-Party Providers” — entities that provide underlying infrastructure or resources for the Service.
  • “User”, “you”, “your” — any person or entity using the Service.

2. Nature of the Service

  • Prosox operates a software-based access and management platform that allows users to access certain network resources.
  • The Service does not manufacture, own, or independently operate all underlying Network Resources. Some or all resources may be provided by Third-Party Providers.
  • Users access the Service via the Prosox interface; the source of Network Resources is transparent to the user only as part of lawful and ethical provisioning.

3. Account Registration & User Responsibilities

  • You must provide accurate information and maintain the confidentiality of your account credentials.
  • You are fully responsible for all actions under your account and must comply with all applicable laws and regulations.
  • Access is personal; sharing or reselling your account is prohibited.

4. Acceptable Use Policy

  • Users may not use the Service for any unlawful, harmful, or abusive activities, including but not limited to:
    • Fraud, spam, or phishing;
    • Unauthorized access to systems or data;
    • Interference with the Service or other users;
    • Violations of intellectual property or privacy rights.
  • Prosox reserves the right to interpret misuse at its sole discretion and may suspend or terminate access immediately without prior notice.

5. Ethical Sourcing & Compliance Statement

  • Network Resources are obtained ethically and lawfully, with proper consent where required.
  • Prosox does not support, endorse, or condone any unlawful use of the Service.
  • Suspected misuse may result in termination of access and disclosure of relevant information to law enforcement or regulatory authorities.

6. Monitoring, Enforcement & Cooperation with Authorities

  • Prosox may monitor Service usage for compliance and security purposes.
  • Prosox reserves the right to restrict, suspend, or terminate accounts at its sole discretion without prior notice.
  • Prosox may cooperate with law enforcement and regulatory authorities, including disclosing user information as required by law or to prevent misuse.

7. Payments & Billing

  • You agree to pay all fees and charges associated with your chosen plan.
  • Payment obligations are due according to your subscription plan.
  • Failure to pay may result in suspension or termination of your access to the Service.

8. Third-Party Services Disclaimer

  • Certain aspects of the Service may rely on Third-Party Providers.
  • Prosox does not guarantee availability, performance, or legality of third-party resources.
  • Any disruptions, limitations, or failures of Network Resources are outside Prosox’s reasonable control.

9. Disclaimer of Warranties

  • The Service is provided “as is” and “as available”, without warranties of any kind.
  • Prosox makes no representations or warranties regarding:
    • suitability or fitness for a particular purpose,
    • uninterrupted or error-free operation,
    • legality of specific user use cases.

10. Limitation of Liability

  • Maximum liability of Prosox to you for any claims arising out of the Service is limited to the amount paid by you in the last billing cycle.
  • Prosox shall not be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits, lost data, or business interruptions.

11. Indemnification

  • You agree to indemnify, defend, and hold harmless Prosox and its affiliates from any claims, losses, liabilities, damages, or expenses arising from:
    • your use of the Service,
    • violation of this Agreement or applicable law,
    • misuse or unlawful use of Network Resources.

12. Termination

  • Prosox may terminate or suspend your access at any time, with or without cause, and without prior notice.
  • Upon termination, your access to the Service will cease immediately.

13. Governing Law & Jurisdiction

  • This Agreement is governed by the laws of the State of Delaware, USA.
  • Any disputes shall be resolved exclusively in the state or federal courts of Delaware.

14. Language & Prevailing Version

  • This Agreement is written in English, which shall prevail in case of conflict.
  • Russian or other translations are provided for convenience only and are not legally binding.
